These Terms of Service (“Terms”) govern your access to and use of speciq.ca (the “Site”) and any products or services provided by SpecIQ (“we,” “us,” or “our”). By using the Site, submitting a quote request, or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.
If you have questions about these Terms, contact us at info@speciq.ca.
About SpecIQ
SpecIQ is an industrial control panel manufacturer based in Canada. We design, build, and certify custom low-voltage, high-voltage, security, and building-automation panels, as well as rack-mounted systems and Class 1 Division 1 / 2 hazardous-location enclosures. Every panel we ship is UL 508A certified and burn-in tested.
Use of the Site
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable federal, provincial, or local law.
- Attempt to gain unauthorized access to any part of the Site, our servers, or any connected systems.
- Use any automated means (scrapers, crawlers, or similar) to
extract content from the Site, except as expressly permitted by
our
robots.txt. - Interfere with the proper operation of the Site or attempt to bypass any security measure.
- Use the Site to transmit viruses, malware, or any other harmful code.
We reserve the right to suspend access to the Site or to specific features for any user who violates these restrictions.
Quote Requests and Orders
The Site provides a quote-request form, an interactive cost calculator, a ballpark price estimator, and a compliance-check tool. These help you scope projects but are subject to the following:
- Quote requests are not binding orders. Submitting a quote request initiates a conversation; it does not create a contract. A binding agreement exists only when we provide you with a written quote, you accept that quote in writing (or by purchase order), and we acknowledge your acceptance.
- Calculator and estimator results are illustrative. The outputs of the cost calculator, ballpark estimator, and any similar interactive tool are based on assumptions and lookup tables that may not reflect your specific project. They are for informational purposes only and do not constitute a quote, offer, or guarantee of price.
- Lead times are good-faith estimates. The lead times shown on the Site (typically 3–4 weeks for stock panel configurations and 6–8 weeks for fully custom panels) are good-faith estimates and may vary based on component availability, scope changes, and other factors disclosed in your written quote.
- Build-to-spec confirmation. For custom panels, we will confirm every detail of your specification in writing before production begins. Production does not start until you have reviewed and approved your custom SKU.
Order terms — payment, delivery, change-orders, cancellation, and returns — are set out in your written quote and any accompanying purchase agreement. Those documents take precedence over these Terms in the event of conflict on order-specific matters.
Intellectual Property
All content on the Site — including text, photography, illustrations, logos, technical drawings, code, and the SpecIQ name — is owned by SpecIQ or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual-property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission, except for:
- Personal, non-commercial viewing of the Site in a standard web browser.
- Internal use of marketing collateral, data sheets, or certification documentation that we provide to you as part of an active project.
- Use of the SpecIQ name to identify us as a supplier in your own internal documentation.
If you submit drawings, specifications, or other content to us through the quote form or any other channel, you represent that you have the right to do so and grant us a non-exclusive license to use that content for the purpose of preparing a quote, manufacturing the panel, and supporting the resulting installation.
Product Warranties
The warranty that applies to any panel we manufacture is the warranty set out in your written quote and the documentation shipped with the panel. To the extent permitted by applicable law, that warranty is in lieu of all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, with the following exceptions that cannot be excluded under Canadian consumer-protection law where applicable.
Our UL 508A certification covers the panel as built to the specification you approved. Modifications, repairs, or component substitutions made by anyone other than SpecIQ may void the certification and the warranty.
The Site itself, and any content on it, is provided “as is” and “as available” without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of Liability
To the maximum extent permitted by applicable law, SpecIQ and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or related to your use of the Site or any product or service we provide, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Our aggregate liability to you for any claim arising out of or related to these Terms, the Site, or any product or service will not exceed the greater of (a) the amount you paid us for the product or service giving rise to the claim, or (b) CAD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless SpecIQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms.
- Your misuse of the Site or of any product or service we provide.
- Any drawings, specifications, or other content you submit to us that infringes a third party’s rights.
- Your violation of any applicable law in connection with your use of the Site or our products.
Third-Party Links and Services
The Site may contain links to third-party websites or services (for example, the Formspree form handler that processes our quote form). We do not control these third parties, do not endorse them, and are not responsible for their content, policies, or practices. Your use of any third-party service is at your own risk and subject to that service’s terms.
Modifications to the Site or These Terms
We may modify the Site, including its content, features, and availability, at any time without notice.
We may also modify these Terms from time to time. When we do, we will update the “Last updated” date shown above the policy text. If the changes are material, we will provide additional notice (for example, by email or a notice on the Site) before the changes take effect. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.
Termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice or liability, including if we believe you have violated these Terms. The provisions of these Terms that by their nature should survive termination (including Intellectual Property, Product Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. You and SpecIQ agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada for any dispute arising out of or related to these Terms, the Site, or any product or service we provide — except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
These Terms, together with any written quote, purchase agreement, or other document we sign with you, constitute the entire agreement between you and SpecIQ regarding your use of the Site and any products or services we provide, and supersede any prior understandings or agreements on the same subject matter.
